These Terms & Conditions ("Agreement") govern every purchase of Vertical GTM LLC's outbound lead-generation and go-to-market services ("Services") made through verticalgtm.com or any authorised Vertical GTM invoice. By purchasing or using our Services, you agree to be bound by this Agreement.


1. Scope


This Agreement applies to all clients of Vertical GTM LLC ("Vertical GTM," "we," "our," or "us"), a Delaware-registered company. "Client" or "you" means the individual or business entity that purchases the Services.


2. Service Delivery & Timeline


Onboarding call & email infrastructure set-up — Within 1 business day of payment and receipt of onboarding questionnaire — Zoom / Google Meet & email.


Lead-list build & evergreen-campaign set-up — By business day 3 — Shared Google Sheet & Vertical GTM platform.


Campaign launch — By business day 15 — Email, LinkedIn/X automations.


Qualified-meeting delivery & weekly reporting — Ongoing once campaigns are live — Slack, CRM push & PDF reports.


All Services are delivered digitally. No physical goods are shipped.


3. Currency


All prices are displayed and charged in United States Dollars (USD).


4. Performance Guarantee & Remediation


Where Vertical GTM has committed to a specific qualified-meeting or lead volume in a written proposal or order form, and that commitment is not met within the agreed period, we will provide the following remediation at our election:

  • Extend the campaign at no additional cost until the commitment is met; or

  • Issue a pro-rata service credit for the shortfall applicable to a future invoice.

No cash refunds are issued for services already rendered, including the month in which performance fell short. Remediation under this section is your sole remedy for performance shortfalls.

5. No-Refund Policy

Fees for services already rendered are non-refundable. Because our product is a digital service, there is nothing to "return." All remediation for performance shortfalls is governed exclusively by Section 4 (Performance Guarantee).

6. Cancellations & Plan Changes

Monthly Retainer plans: Cancel any time with 30 days' written notice before your next billing date.

Pay-per-Lead plans: You may pause or terminate at any point before approving new lead lists. Leads already approved will be completed and billed pro-rata.|

Submit all cancellation requests to billing@verticalgtm.com or call +1 210 307 6950, Monday–Friday, 09:00–17:00 CT. Cancellation requests must be submitted in writing.

7. Delivery Delays Outside Our Control

If circumstances outside Vertical GTM's reasonable control (including but not limited to force majeure events, third-party platform outages, or failure to provide required onboarding information) delay campaign launch beyond business day 15, we will:

  • Notify you within 24 hours of identifying the delay;

  • Provide an amended timeline in writing; and

  • Credit one additional free service day for every 24-hour delay beyond that amended timeline attributable to Vertical GTM.

8. Client Obligations & Acceptable Use

By purchasing our Services, you represent and warrant that:

  • You have the legal authority to enter into this Agreement on behalf of your organisation;

  • All data, email lists, or materials you provide to us have been collected lawfully and you have all necessary rights and consents to use them for outbound marketing;

  • You will not use our Services to send unsolicited communications in violation of applicable law (including CAN-SPAM, CASL, GDPR, or equivalent legislation);

  • You will not use our Services to target individuals in embargoed countries or on U.S. sanctions lists; and

  • You will provide accurate onboarding information and respond to reasonable requests for information in a timely manner.

Violation of these obligations may result in immediate suspension or termination of Services without refund.

9. Intellectual Property

Upon receipt of full payment, Vertical GTM grants you a non-exclusive, non-transferable licence to use the lead lists, campaign copy, and other deliverables created specifically for you ("Deliverables") solely for your own internal business purposes.

Vertical GTM retains all right, title, and interest in and to: (a) all underlying methodologies, frameworks, templates, and proprietary tools used to produce the Deliverables; (b) any pre-existing intellectual property; and (c) aggregated, anonymised data derived from campaign performance. Nothing in this Agreement transfers ownership of any intellectual property to you.

10. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

VERTICAL GTM'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL VERTICAL GTM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply regardless of the theory of liability and shall survive termination of this Agreement.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

Before initiating any formal dispute, both parties agree to attempt good-faith resolution by contacting support@verticalgtm.com and allowing 30 days for resolution. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings held in Dover, Kent County, Delaware. 

You agree not to initiate a chargeback or payment dispute before first contacting us at billing@verticalgtm.com and allowing 10 business days to resolve the issue.

12. Data & Privacy

Vertical GTM processes personal data in accordance with our Privacy Policy, available at verticalgtm.com/privacy-policy. By purchasing our Services, you acknowledge and agree to the collection and use of data as described therein. Upon termination of this Agreement, client personal data will be handled in accordance with our Privacy Policy and applicable data protection law.

13. Legal & Export Restrictions


Vertical GTM complies with all applicable U.S. export-control laws and regulations. We cannot provide Services to entities on U.S. government sanctions lists or entities located in countries subject to U.S. embargoes.


14. Changes to This Agreement


We may update these Terms & Conditions from time to time. Material updates will be communicated to active clients by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated terms.


15. Entire Agreement


This Agreement, together with any applicable order form or proposal, constitutes the entire agreement between you and Vertical GTM with respect to the Services and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
